Our consulting services are provided based on specific Agreements between TechForge and the Client. Each Agreement will detail the scope of services, deliverables, timelines, fees, and other relevant terms. These Terms and Conditions apply in addition to any specific Agreement, and in case of conflict, the specific Agreement shall prevail.

TechForge will use reasonable efforts to deliver Services in a professional and timely manner. However, the success of our consulting engagements depends on various factors, including client cooperation, market conditions, and organizational readiness for change. We do not guarantee specific outcomes or results from our Services.
All content on our Website, including but not limited to text, graphics, logos, images, and software, is the property of TechForge or its licensors and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our prior written consent.
Unless otherwise specified in an Agreement, deliverables created specifically for a Client as part of a consulting engagement ("Work Product") shall become the property of the Client upon full payment of all applicable fees. TechForge retains the right to use general methodologies, tools, and knowledge developed or refined during the engagement for other clients and purposes.
Any materials, methodologies, frameworks, or intellectual property that TechForge brings to an engagement or develops independently ("Pre-Existing Materials") remain the property of TechForge. Clients receive a non-exclusive license to use Pre-Existing Materials incorporated into Work Product for their internal business purposes.
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our engagement. This includes business strategies, financial information, trade secrets, and any other information marked as confidential or that a reasonable person would consider confidential. This obligation survives the termination of any Agreement for a period of three (3) years.
Fees for our Services will be specified in each Agreement. Unless otherwise stated, fees are quoted in Czech Koruna (CZK) or Euro (EUR) and are exclusive of applicable taxes.
Payment terms will be specified in each Agreement. Typically, we require an initial deposit before commencing work, with the balance due according to an agreed schedule. Late payments may incur interest charges at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Unless otherwise agreed, reasonable travel, accommodation, and other out-of-pocket expenses incurred in the delivery of Services will be billed to the Client at cost, with supporting documentation provided upon request.
Our Website and Services are provided "as is" and "as available" without warranties of any kind, either express or implied. TechForge does not warrant that our Website will be uninterrupted, error-free, or free of viruses or other harmful components.
To the fullest extent permitted by law, TechForge shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of our Website or Services. Our total liability for any claims arising under these Terms or any Agreement shall not exceed the total fees paid by the Client for the specific Services giving rise to the claim.
You agree to indemnify, defend, and hold harmless TechForge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of our Website or Services, your violation of these Terms, or your violation of any rights of a third party.
We reserve the right to suspend or terminate your access to our Website at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Either party may terminate a consulting engagement as specified in the applicable Agreement. In the absence of specific termination provisions, either party may terminate with thirty (30) days' written notice. Upon termination, the Client shall pay for all Services rendered and expenses incurred up to the termination date.
These Terms shall be governed by and construed in accordance with the laws of the Czech Republic, without regard to its conflict of law provisions. Any disputes arising out of or related to these Terms or our Services shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts of Prague, Czech Republic.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our Website. Your continued use of our Website or Services after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
These Terms, together with any applicable Agreement and our Privacy Policy, constitute the entire agreement between you and TechForge regarding the use of our Website and Services, superseding any prior agreements or understandings.
